These Terms of Service ("Terms") govern your access to and use of the Ferchaud platform, including our website, APIs, trading algorithms, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, accessing, or using any part of the Ferchaud platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
2. Description of Services
Ferchaud is an AI-powered trading platform that provides:
- Algorithmic trading strategies utilizing artificial intelligence and machine learning models
- Real-time market scanning and analysis across equities, ETFs, and other financial instruments
- Automated trade execution through integrated brokerage services (via Alpaca Markets)
- Portfolio tracking, performance analytics, and trade history
- Social sentiment analysis and market intelligence derived from public data sources
- Paper trading (virtual) and live trading modes
The Service is provided for informational and educational purposes. Ferchaud does not provide personalized investment advice, and the use of our algorithms does not constitute a recommendation to buy or sell any security.
3. Account Registration and Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Be a legal resident of the United States or an eligible jurisdiction
- Provide accurate, current, and complete registration information
- Maintain and promptly update your account information
- Be responsible for safeguarding your password and for all activities under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to refuse service, terminate accounts, or restrict access at our sole discretion.
4. Subscription Plans and Billing
Ferchaud offers the following subscription tiers:
- Free: Access to basic features, paper trading, and limited market data. 50% revenue share on profits generated.
- Starter ($29/month): Enhanced market scanning, priority execution, and expanded analytics. 40% revenue share.
- Pro ($79/month): Full access to all trading strategies, real-time signals, advanced analytics, and priority support. 25% revenue share.
- Elite ($199/month): White-glove service with custom strategy tuning, dedicated support, API access, and premium features. 15% revenue share.
The revenue share model means Ferchaud retains a percentage of net trading profits generated through the platform. Revenue share is calculated on realized gains only and does not apply to losses. Subscription fees are billed monthly through Stripe and are non-refundable except as required by applicable law.
5. Virtual Trading and Paper Trading Disclaimers
Ferchaud offers a paper trading (virtual) mode that simulates market conditions. You acknowledge that:
- Paper trading results do not reflect actual market execution and may not account for slippage, liquidity constraints, or market impact
- Virtual trading performance is hypothetical and does not guarantee similar results in live trading
- Transitioning from paper to live trading involves real financial risk
6. User Conduct and Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable regulations
- Attempt to manipulate markets, engage in wash trading, or conduct any form of market abuse
- Reverse-engineer, decompile, or disassemble any part of the Service or its algorithms
- Share your account credentials or allow third parties to access your account
- Use automated tools (bots, scrapers) to access the Service beyond the provided APIs
- Interfere with or disrupt the Service's infrastructure or other users' access
- Circumvent any access controls, rate limits, or security measures
- Resell, redistribute, or sublicense the Service without written authorization
7. Intellectual Property
All content, software, algorithms, trading strategies, machine learning models, data analytics, branding, and documentation associated with the Ferchaud platform are the exclusive property of Ferchaud and its licensors. This includes but is not limited to:
- Proprietary trading algorithms and AI models
- Market scanning and signal generation systems
- User interface designs, logos, and trademarks
- Platform source code and architecture
You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms. No ownership rights are transferred to you.
8. Limitation of Liability
Important: Ferchaud is NOT a registered investment advisor, broker-dealer, or financial planner. The Service does not provide personalized investment advice. All trading decisions are made at your own risk. Past performance is not indicative of future results.
To the maximum extent permitted by applicable law, Ferchaud and its officers, directors, employees, and agents shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, data, use, goodwill, or other intangible losses
- Any trading losses resulting from use of the Service or reliance on its outputs
- Any damages arising from unauthorized access to or alteration of your data
- Any interruption or cessation of the Service
Our total aggregate liability shall not exceed the greater of (a) the amount you paid to Ferchaud in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. FERCHAUD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF TRADING SIGNALS, MARKET DATA, OR ALGORITHMIC OUTPUTS
- ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- ANY WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE
10. Indemnification
You agree to indemnify, defend, and hold harmless Ferchaud, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your trading activity and any resulting financial outcomes
- Any content or data you submit through the Service
11. Termination of Accounts
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:
- Violation of these Terms or any applicable law
- Fraudulent, abusive, or illegal activity
- Non-payment of subscription fees
- Extended period of inactivity
- At your request
Upon termination, your right to use the Service ceases immediately. Any outstanding revenue share balances will be settled within 30 business days of account closure.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware.
13. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. Key provisions:
- Arbitration shall take place in Wilmington, Delaware, or remotely at the arbitrator's discretion
- The arbitrator's decision shall be final and binding
- Each party shall bear its own costs, unless the arbitrator determines otherwise
- You waive the right to participate in class action lawsuits or class-wide arbitration
- Claims must be brought within one (1) year of the date the cause of action arose
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

- Alpaca Markets: Trading data is shared with Alpaca Securities LLC for order execution and brokerage services. Alpaca is a registered broker-dealer and member of FINRA/SIPC.
- Stripe: Payment and billing information is processed by Stripe, Inc. for subscription management and deposit processing.
- Legal compliance: We may disclose information when required by law, subpoena, or government request.
- Business transfers: In the event of a merger, acquisition, or sale of assets, user data may be transferred to the successor entity.

8. Maximum Loss
When trading through Ferchaud:
- Your maximum loss is limited to the total funds you have deposited into your trading account
- Ferchaud does not offer margin trading or leverage through the platform; therefore, you cannot lose more than your deposited funds
- However, you should only trade with funds you can afford to lose entirely
